1. INTRODUCTION
Welcome to Better Neighbors AI ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Better Neighbors AI website, located at better-neighbors.ai, and any related services, features, content, or applications offered by Better Neighbors AI (collectively, the "Services").


Please read these Terms carefully before accessing or using our Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to all the Terms, then you may not access or use the Services.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services following the posting of any changes to the Terms constitutes acceptance of those changes.


3. ACCESS AND USE OF THE SERVICES


3.1 Eligibility
You must be at least 13 years of age to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 13 years of age. If you are under 18 years of age, you represent that you have your parent or guardian's permission to use the Services and that they have read and agree to these Terms.


3.2 Account Registration
Some features of our Services may require you to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.


3.3 Use Restrictions
When using our Services, you agree that you will not:

  • Use the Services in any way that violates any applicable federal, state, local, or international law or regulation

  • Use the Services for the purpose of exploiting, harming, or attempting to exploit or harm minors

  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services

  • Use the Services to transmit any material that is unlawful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable

  • Interfere with or disrupt the integrity or performance of the Services or servers or networks connected to the Services

  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose

  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services

  • Copy, adapt, modify, create derivative works based on, distribute, license, sell, transfer, publicly display, transmit, or otherwise exploit the Services or any content thereon

3.4 Chatbot Usage
Our Services include an AI-powered chatbot feature. When using our chatbot, you agree:

  • Not to input any sensitive personal information or protected health information

  • That conversations may be reviewed for quality improvement purposes

  • Not to use the chatbot for unlawful, harmful, or abusive purposes

  • While rare, that the chatbot's responses are generated by AI and may not always be accurate

4. INTELLECTUAL PROPERTY RIGHTS


4.1 Ownership
The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, and the look and feel of the Services, are owned by Better Neighbors AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.


4.2 License to Use
Subject to your compliance with these Terms, Better Neighbors AI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:

  • Modify or copy any materials from the Services

  • Use any materials for any commercial purpose or for any public display

  • Remove any copyright or other proprietary notations from the materials

  • Transfer the materials to another person or "mirror" the materials on any other server

  • Use the Services or any materials thereon in a manner that suggests an association with our products, services, or brands

4.3 Feedback
If you provide us with any feedback, suggestions, improvements, or other materials related to the Services ("Feedback"), you hereby grant us a worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, reproduce, modify, create derivative works from, distribute, and display such Feedback in any manner and for any purpose.


5. USER CONTENT
5.1 User Content Definition
"User Content" means any text, images, videos, or other material or information that you post, upload, input, provide, or submit to or through our Services, including through the chatbot feature.


5.2 License Grant
By providing User Content to or through the Services, you grant Better Neighbors AI a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content, in whole or in part, in any media formats and through any media channels for the purpose of operating, providing, promoting, and improving the Services.


5.3 User Content Representations and Warranties
You represent and warrant that:

  • You own or control all rights in and to the User Content you provide through the Services

  • All User Content is accurate and not misleading

  • The User Content does not violate these Terms, applicable law, or the rights (intellectual property, privacy, or otherwise) of any third party

  • The User Content will not cause injury to any person or entity

6. THIRD-PARTY LINKS AND CONTENT
The Services may contain links to third-party websites, advertisers, services, or resources that are not owned or controlled by Better Neighbors AI. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from the Services, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites.


7. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER BETTER NEIGHBORS AI NOR ANY PERSON ASSOCIATED WITH BETTER NEIGHBORS AI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.


THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


8. LIMITATION OF LIABILITY
IN NO EVENT WILL BETTER NEIGHBORS AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.


THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Better Neighbors AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.


10. TERMINATION
We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe violates these Terms, is harmful to other users of the Services, or is harmful to our interests. In the event of termination, your obligations under these Terms shall continue.


11. GOVERNING LAW AND JURISDICTION
These Terms and any disputes relating thereto shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Delaware for the resolution of any disputes arising out of or relating to these Terms or the Services.


12. ARBITRATION
12.1 Agreement to Arbitrate
You and Better Neighbors AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be determined by binding arbitration. The arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association ("AAA").


12.2 Class Action Waiver
YOU AND BETTER NEIGHBORS AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.


12.3 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending the completion of arbitration.


13. WAIVER AND SEVERABILITY
No waiver by Better Neighbors AI of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Better Neighbors AI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.


If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.


14. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Better Neighbors AI with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.
